In Memoriam

Mark Geyer passed away on May 18, 2009, after a valiant battle with pancreatic cancer. His commitment to excellence and his unique touch of humanity that he brought to the practice of law lives on in the firm, but he is deeply missed.


Leasing

  • Represent grocery store or drug store anchor tenants in numerous shopping center lease transactions.

      Negotiated leases for the following major retailers: Acme Markets, Albertson's, Jewel Food Stores, Longs Drug Stores, Lucky Food Stores, Nash Finch Company, Sav-on Drugs, Osco Drugs. Locations in California, Delaware, Illinois, Nevada, New York, New Jersey, Pennsylvania and Utah. Have completed over 100 leases; ground leases, build to suit and reverse build-to-suit transactions, including all ancillary documentation (reciprocal easement agreements, CC&Rs, SNDA's, etc.)

  • Represent speciality retailers or small tenants in neighborhood centers, power centers and regional malls. Leases ranging from 1,000 to 15,000 square feet.

  • Represent landlords in the development of shopping center lease forms, leasing to in-line tenants and negotiation of anchor tenant leases.

      Developed lease forms for leasing newly developed centers in San Francisco, California, Dallas, Texas, Phoenix, Arizona, Salt Lake City, Utah, Atlanta, Georgia, Pensacola, Florida and in Medford, New Jersey. Have negotiated anchor tenant, specialty and small tenant leases in those locations and other Arizona, California, Colorado, Florida, Georgia, Illinois, Pennsylvania, New Jersey, North Carolina, South Carolina, and Utah locations.

  • Represent landlords and tenants in office and industrial leases.

      Negotiated build-to suit office leases in California, smaller office leases in Utah and warehouse leases in California, Delaware and Pennsylvania.


Acquisition / Sales
  • Represent buyers acquiring existing shopping centers in all phases of acquisition: purchase agreement negotiation, due diligence, entity formation and financing.

      Handled acquisition of neighborhood shopping centers in Concord, Richmond and Vallejo, CA. and power center in El Cerrito, CA

  • Handled sales of shopping centers nationwide.

  • Represent buyers in acquiring other, non-retail projects.

  • Represent retailers in multi-store acquisitions and dispositions, including 10-store sale to Save Mart.


Development
  • Represent retail and residential developments in the ground up development of shopping center, retail/residential mixed use projects and other developments, including redevelopment projects.

      Negotiated ground-up redevelopment projects in several cities in California. Included negotiation of redevelopment agreements with municipalities, condemnation actions and tenant and resident relocations.

      Handled ground up mixed use condominium projects in San Francisco (two projects, including one joint venture between housing developer and major retailer) and San Diego, California. Included purchase, joint venture formation, coordination of subdivision and condominium filings, declarations, condominium sales, leasing, property management agreements, parking structure management agreements, etc.

      Represented self-storage developer in acquisition and development, including financing, of several California and Illinois sites.
